Glyphy Terms of Service

Welcome to Glyphy. These Terms are a binding agreement between you and Glyphy, Inc., a Delaware corporation ("Glyphy," "we," "us"). By using glyphy.tv or any related Glyphy service (the "Service"), you agree to these Terms and to our Privacy Policy, Content Policy, DMCA Policy, and Refund Policy. If you don't agree, don't use the Service.

1. Who can use Glyphy

You must be 18 or older and able to form a binding contract to use the Service. Glyphy isn't directed at children, and we don't knowingly collect data from anyone under 13.

2. Your account

You're responsible for the accuracy of your account details, for keeping your sign-in secure, and for everything that happens under your account. One person or entity per account. If you think your account has been compromised, email hello@glyphy.tv right away.

3. The Service

Glyphy is a pay-per-view marketplace for AI-generated films and series. Creators upload work; viewers pay per film for a limited streaming window (currently 48 hours per purchase). Features, pricing mechanics, and access windows may change as the Service evolves.

4. Creator terms

If you upload films (a "Creator"), you represent and warrant that:

License you grant Glyphy

You keep ownership of your films. You grant Glyphy a non-exclusive, worldwide, royalty-free license to host, stream, transcode, and promote your films (including short excerpts and thumbnails) to operate and market the Service. This license ends when you remove a film or close your account, except for excerpts already used in Service-wide promotion before removal and copies we must retain for legal or backup purposes.

Pricing, fees, and payouts

You set your price within the allowed range. For each completed purchase, Glyphy charges a platform fee of approximately 10% of the price; you receive the remainder, net of the payment-processing fees charged by our payments provider. Payouts are made through Stripe Connect, and your use of payouts is also subject to the Stripe Connected Account Agreement. You're responsible for any taxes on your earnings. We may hold or delay payouts where needed to manage refunds, chargebacks, or suspected fraud.

Originality attestation

Each upload requires you to confirm you hold the necessary rights. That attestation — with its timestamp and version — is binding and is recorded as described in our Privacy Policy.

The Glyphy name, logo, and the Service's design and software are owned by Glyphy and protected by law. Creators' films remain the property of their creators, licensed to Glyphy as described above.

Copyright and DMCA

We respond to valid notices under the Digital Millennium Copyright Act. Glyphy, Inc. has a registered DMCA designated agent with the U.S. Copyright Office (registration no. DMCA-1073693). To report infringement or file a counter-notice, see our DMCA Policy or email legal@glyphy.tv.

Repeat-infringer policy

We terminate the accounts of repeat infringers. In practice: a first substantiated complaint results in takedown plus a warning; a second results in account termination and forfeiture of pending payouts.

8. Third-party services

The Service relies on third parties (including Stripe for payments and Mux for video). Your use of those features may be subject to their terms, and we aren't responsible for third-party services.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We don't guarantee uninterrupted playback, error-free uploads, particular earnings, or any specific audience reach.

10. Limitation of liability

To the maximum extent allowed by law, Glyphy won't be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits. Glyphy's total liability for any claim under these Terms is limited to the greater of the amount you paid Glyphy in the 12 months before the claim, or $100.

11. Indemnification

You agree to indemnify and hold harmless Glyphy and its officers, directors, and agents from any claim, loss, or expense (including reasonable legal fees) arising from your content, your use of the Service, or your breach of these Terms. For Creators, this includes copyright, trademark, and right-of-publicity claims arising from films you upload.

12. Termination

You can stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, the Content Policy, or the law, or to protect the Service or its users. Provisions that by their nature should survive — ownership, licenses already granted, disclaimers, limitation of liability, indemnification, and the dispute terms — survive termination.

13. Disputes and governing law

Let's try to resolve any issue informally first — email legal@glyphy.tvand we'll work with you in good faith. Most concerns are resolved this way.

These Terms are governed by the laws of the State of Delaware, where Glyphy, Inc. is incorporated, without regard to its conflict-of-laws rules. Any dispute that isn't resolved informally will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. If you are a consumer, nothing in this section removes the protection of any mandatory consumer-protection laws of the place where you live.

14. Changes to these Terms

We may update these Terms. When we make a material change, we'll bump the version stamp at the top of this page and ask Creators to re-agree before their next upload. Continued use after a change means you accept the updated Terms.

15. General

These Terms, together with the policies linked above, are the entire agreement between you and Glyphy about the Service. If any part is found unenforceable, the rest stays in effect. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them without our consent. Our failure to enforce a provision isn't a waiver of it. We aren't liable for delays or failures caused by events beyond our reasonable control.
